Welcome to FadPay Next ("FadPay", "we", "us"). These Terms of Service ("Terms") govern your access to and use of the FadPay financial platform, your FadPay Account, FadPay Pro for businesses, our developer API and every related service (together, the "Services"). By creating a FadPay Account, adding funds or otherwise using the Services, you agree to these Terms.
If you are using FadPay on behalf of a company or organisation, you confirm that you are authorised to accept these Terms for that entity. If you do not agree with them, please do not use the Services.
To open a FadPay Account you must be at least 18 years old, able to enter into a binding contract, and resident in a market where FadPay operates. Senegal is our launch market, Mali is next, and supported cards and banks extend your reach internationally. When you register and maintain an Account, you agree to:
Your FadPay Account is a financial identity that connects your banks, cards, Wave and Orange Money in one place. It lets you hold a Balance denominated in West African CFA francs (F CFA), send instant transfers to other FadPay users, pay invoices and payment links, join tontines, and add or withdraw funds through your connected payment sources.
FadPay is a financial platform, not a bank. Where funds are held or moved through regulated partners, those partners' terms may also apply to you.
You can connect payment sources to your FadPay Account — Wave, Orange Money, Visa and Mastercard cards, and bank accounts. We hold only a masked reference to each source; full card and account numbers are never stored on FadPay systems. When you move money through a source or between Accounts:
FadPay lets you answer verification requests from businesses — an eligibility check, an income requirement, an identity attribute — without handing over your data. Every authorization you grant is explicit, temporary and revocable:
Businesses that request verification agree to use answers solely for the stated purpose, and never to attempt to infer, store or resell the underlying data.
FadPay Pro is the business side of FadPay. A company funds its company Account, adds its people — salaried employees, daily workers and contractors, each of whom automatically receives a FadPay Account — runs payroll, collects money through invoices and payment links, and manages who on the team can move money. When you use FadPay Pro:
Business transfers above your company's approval threshold follow an approvals workflow: the transfer is held as a pending request and executes only once a team member with approval rights approves it. An approver may also reject the request, and every decision — who requested, who decided, and when — is recorded in your audit trail. You are responsible for keeping your team roles and approval rights up to date.
Payroll disbursements and approved transfers draw down your company Balance. You must ensure sufficient funds are available before execution, as authorised movements happen immediately.
Creating a personal FadPay Account and sending money to other FadPay users is free. Certain services — such as withdrawals over some networks, card processing or business payroll — may carry a fee. Any applicable fee is shown transparently before you confirm a transaction, and you are only charged once you approve it.
We may update our fees from time to time. Material changes will be communicated in advance through the app or by email, and your continued use of the Services after they take effect constitutes acceptance of the updated fees.
The FadPay REST API (v1) lets you build on the platform — read balances and transactions, check network status, run payouts and move funds programmatically. Access requires an API key and is authenticated with a Bearer token. You receive separate test and live keys and are responsible for keeping your secret keys confidential. When you build on the API, you agree to:
We may retry failed webhook deliveries and may disable an endpoint that persistently fails or appears compromised. The FadPay Score is deliberately not exposed on the API — no endpoint returns a score, yours or anyone else's — as part of our privacy-by-design commitments.
We may version, change or deprecate API endpoints over time. We aim to give reasonable notice of breaking changes to the v1 API so you can adapt your integration.
You agree to use FadPay lawfully and in good faith. You must not use the Services to:
We protect the Services with encryption, trusted-device checks and step-up verification before sensitive actions. Security is a shared responsibility, and we ask that you do your part:
FadPay operates a compliance engine built for the region. We carry out identity verification (KYC), anti-money-laundering (AML) checks, fraud detection, transaction monitoring, velocity checks, sanctions and PEP screening (including OFAC lists), risk scoring and document verification.
To meet our legal obligations we may verify your identity, request additional information or documents, and delay, limit, freeze or decline transactions that trigger our controls. Where required by law, we may also report activity to the relevant authorities.
The Services are provided "as is" and "as available". While we work hard to keep FadPay fast, accurate and secure, we do not warrant that the Services will be uninterrupted or entirely free of errors.
To the maximum extent permitted by law, FadPay is not liable for indirect, incidental or consequential losses, or for losses arising from your failure to keep your credentials and devices secure. Nothing in these Terms limits any liability that cannot be limited under applicable law.
You may close your FadPay Account at any time, subject to settling any outstanding balance or obligations. We may suspend or terminate your access if you breach these Terms, if the law requires it, or to protect users and the integrity of the Services.
On termination, we will make any remaining balance available to you in line with applicable law and our verification and compliance requirements. Any authorizations you granted are revoked, and terms that by their nature should survive — such as those on liability, compliance and governing law — will continue to apply.
These Terms are governed by the laws of the Republic of Senegal, including the OHADA uniform acts where applicable. Any dispute arising from these Terms that cannot be resolved amicably will be submitted to the competent courts of Dakar. If any provision is found unenforceable, the remaining provisions stay in full effect.
